We require explicit consent to these Terms before use. Continued use of the Service following any update to these Terms constitutes acceptance of the revised Terms.
Undrift is an AI-powered meeting facilitation tool that operates within your browser. The Service listens to speech during meetings via your device microphone, analyzes spoken content against a user-provided agenda in real time, identifies topic drift, suggests diplomatic redirects, and generates a scored post-meeting summary report.

Undrift reserves the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice where practicable.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement. The Service is intended for professional and business use. You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations in your jurisdiction.
The Service may require you to create an account to access certain features. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account.
Undrift reserves the right to suspend or terminate accounts that violate these Terms, engage in prohibited activities, or whose continued access poses a risk to the Service or other users.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

Any feedback or ideas you provide about the Service may be used by Undrift without restriction or compensation. By submitting Feedback, you assign to Undrift all rights in that Feedback.
The Service processes content you provide, including agenda text, meeting notes, and speech transcripts ("User Content"). You retain ownership of your User Content. By using the Service, you grant Undrift a limited license to process your User Content solely as necessary to provide the Service.
Undrift does not store User Content after your session ends. Audio is never transmitted to Undrift. Text transcripts are transmitted securely and are not retained beyond what is necessary to generate your session output.
Your use of the Service is governed by our Privacy Policy, available at undrift.io/privacy, which is incorporated into these Terms by reference. Key commitments: audio is never recorded or transmitted; session content is not stored after your session ends; feedback submissions are stored in a secure Google Workspace environment under the undrift.io domain.
The Service is currently provided free of charge during its beta period. Undrift reserves the right to introduce paid subscription tiers, premium features, or other pricing structures in the future. Users will be given advance notice before any free features become paid. All fees will be in US dollars unless otherwise stated. Nothing in these Terms obligates Undrift to maintain any feature as free of charge indefinitely.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDRIFT LLC AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. You agree to indemnify, defend, and hold harmless Undrift LLC and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your User Content.
You may stop using the Service at any time. Undrift may suspend or terminate your access immediately and without notice if you materially breach these Terms, your use poses a legal or security risk to Undrift or other users, or Undrift is required to do so by law. Sections 6, 10, 11, 12, 14, and 15 survive termination.
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the state and federal courts located in Jefferson County, Kentucky for any matters not subject to arbitration under Section 15.
This section affects your rights, including your right to file a lawsuit in court.
Before initiating any formal dispute process, you agree to contact Undrift at hello@undrift.io and attempt in good faith to resolve the dispute informally. If not resolved within 30 days, either party may proceed to arbitration.
Except as set forth in Section 15.3, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in Louisville, Kentucky, or by telephone or videoconference. The arbitrator's decision shall be final and binding.
Either party may seek emergency equitable relief in the state or federal courts of Jefferson County, Kentucky, without first engaging in arbitration, for disputes involving actual or threatened infringement of intellectual property rights or unauthorized use of the Service, its technology, or brand assets.
You agree that any dispute resolution proceedings will be conducted only on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Undrift reserves the right to update or modify these Terms at any time. When we make material changes, we will post the updated Terms with a new effective date at undrift.io/terms and notify registered users via email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Undrift regarding the Service.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver. Failure by Undrift to enforce any right or provision shall not constitute a waiver of such right or provision.
Assignment. You may not assign or transfer your rights or obligations under these Terms without Undrift's prior written consent. Undrift may freely assign these Terms.
Force Majeure. Undrift shall not be liable for any failure or delay resulting from circumstances beyond its reasonable control.

This Open Beta Terms of Service Addendum ("Open Beta Addendum") supplements and modifies the Undrift Terms of Service for all users during the Open Beta period. By using Undrift during Open Beta, you agree to both the Terms and this Open Beta Addendum. In the event of a conflict, this Open Beta Addendum controls with respect to the Open Beta period.
The Undrift Open Beta is a public testing period during which the Service is available free of charge to all users. The purpose of the Open Beta is to validate core functionality under real-world conditions, identify bugs and usability issues, and gather user feedback before the full production release. Access may be modified, limited, or discontinued at Undrift's sole discretion at any time.
To use Undrift during Open Beta, you must be at least 18 years of age; agree to these Terms and this Open Beta Addendum; and use a supported browser (Chrome or Edge) on a desktop or laptop computer. The Service is publicly accessible at undrift.io during the Open Beta period.
The Open Beta version of Undrift is pre-release software. The Service may contain bugs, errors, and incomplete features; may be modified, updated, interrupted, or discontinued at any time without prior notice; and is provided strictly "as is" with no uptime guarantees.
Do not use the Undrift Open Beta Service in meetings where legally privileged, medically sensitive, or otherwise highly confidential information will be discussed.
Audio is processed entirely within your local browser via the Web Speech API. Audio is never transmitted to, recorded by, or stored by Undrift.
Transcripts, agenda input, and session output are processed in memory during your session and are not stored by Undrift after your session ends.
Text transcript segments are transmitted to an AI processing provider via a secure Undrift server-side proxy over encrypted connections. Undrift does not use your session content to train AI models.
Feedback form submissions are stored in a secure Google Workspace environment under the undrift.io domain, used solely for product improvement.
Undrift may collect basic anonymized usage data (such as session counts or error logs) through our hosting infrastructure. This data does not include meeting content.
All Beta Feedback is provided voluntarily. Undrift may use, incorporate, modify, and build upon your Beta Feedback without restriction, attribution, or compensation. By submitting Feedback, you assign to Undrift all rights, title, and interest in that Feedback, including all intellectual property rights.
The Open Beta period will run from approximately April 22, 2026 through June 2026, subject to change at Undrift's discretion. Undrift reserves the right to extend or shorten the Open Beta period, modify access terms, or conclude the program and transition to a production release or paid offering at any time.
Use of Undrift during the Open Beta period is free of charge and voluntary. Undrift is not obligated to release a production version of the Service, to incorporate any user feedback, or to offer any Open Beta user preferential access, pricing, or terms in any future release.
IN ADDITION TO THE LIMITATIONS SET FORTH IN THE UNDRIFT TERMS OF SERVICE, YOU EXPRESSLY ACKNOWLEDGE THAT THE OPEN BETA SERVICE IS PRE-RELEASE SOFTWARE AND MAY CONTAIN DEFECTS. YOUR USE OF THE OPEN BETA SERVICE IS ENTIRELY AT YOUR OWN RISK. UNDRIFT SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY DAMAGE, DATA LOSS, OR OTHER HARM ARISING FROM YOUR USE OF THE OPEN BETA SERVICE.
By using Undrift during the Open Beta period, you confirm that you have read and agree to the Undrift Terms of Service, this Open Beta Addendum, and the Undrift Privacy Policy; are at least 18 years of age; and understand that the Open Beta Service is pre-release software with no uptime or performance guarantees.
